Welcome to Trade Style! These Terms and Conditions outline the rules and regulations for the use of our website and services.

Definitions

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements:

  • "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company’s terms and conditions.
  • "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company, Trade Style.
  • "Party", "Parties", or "Us", refers to both the Client and ourselves.
  • "Service" refers to the trading journal application and related tools provided by Trade Style.

Description of Service

Trade Style provides a web-based trading journal application designed to help traders track, analyze, and improve their trading performance. The Service includes tools for recording trade data, generating statistics, and managing trading plans.

User Accounts

To access certain features of the Service, you may be required to sign up for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and account login information.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not share your account credentials with any third party.
  • Not create multiple accounts for the same user.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. We recommend using a strong, unique password and enabling any available security features. If you suspect any unauthorized access to your account, you must notify us immediately.

Subscriptions and Billing

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

Payment Processing

We use Stripe as our third-party payment processor. By subscribing to our Service, you agree to be bound by Stripe's Services Agreement and acknowledge that your payment information will be processed by Stripe in accordance with their Privacy Policy.

Subscription Terms

  • Automatic Renewal: Your Subscription will automatically renew at the end of each Billing Cycle unless you cancel it or Trade Style cancels it. You will be charged the then-current subscription fee.
  • Cancellation: You may cancel your Subscription renewal at any time through your account management page. You will not receive a refund for the fees you already paid for your current Subscription period and you will be able to access the Service until the end of your current Subscription period.
  • Changes to Fees: Trade Style, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable notice of any fee changes.
  • Failed Payments: If a payment fails, we will attempt to process it again. Continued failed payments may result in the suspension or termination of your subscription.
  • Refund Policy: All subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

Free Trial (If Applicable)

We may offer a free trial period for certain subscription plans. During the free trial, you will have access to the Service features included in that subscription tier. At the end of the trial period, your payment method will be automatically charged unless you cancel before the trial ends.

User Conduct

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Company or users of the Service or expose them to liability.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • To use any automated system, including but not limited to "robots," "spiders," or "offline readers," to access the Service in a manner that sends more request messages to our servers than a human could reasonably produce in the same period.
  • To transmit any viruses, malware, or other malicious code.
  • To collect or harvest any personally identifiable information from other users.

Intellectual Property Rights

Other than the content you own, under these Terms, Trade Style and/or its licensors own all the intellectual property rights and materials contained in this Website. You are granted limited license only for purposes of viewing the material contained on this Website and using the Service for your personal trading analysis.

Your Content

You retain all ownership rights to the trading data, journal entries, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited license to store, display, and process it solely for the purpose of providing the Service to you.

Prohibited Uses

  • You may not copy, modify, distribute, sell, or lease any part of our Service or included software.
  • You may not reverse engineer or attempt to extract the source code of our software.
  • You may not use our Service for any illegal or unauthorized purpose.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no representations or warranties of any kind, whether express or implied, regarding the operation of the Service or the information, content, materials, or products included on the Service.

To the fullest extent permissible by law, we disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability and fitness for a particular purpose.
  • Warranties that the Service will be uninterrupted, secure, or error-free.

Trading Risks

Important Notice: Trading financial markets involves a high level of risk and may not be suitable for all investors. The high degree of leverage can work against you as well as for you. Before deciding to trade, you should carefully consider your investment objectives, level of experience, and risk appetite. The possibility exists that you could sustain a loss of some or all of your initial investment.

You acknowledge and agree that:

  • You are solely responsible for your trading decisions and their outcomes.
  • Trade Style is not responsible for any financial losses or damages incurred as a result of your trading activities.
  • Past performance data displayed in the Service is not indicative of future results.
  • The Service is a tool for tracking and analyzing your trading activity, not a guarantee of trading success.
  • You should seek independent financial advice before making any investment decisions.

Limitation of Liability

In no event shall Trade Style, nor any of its officers, directors, employees, agents, or affiliates, be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract, tort, or otherwise.

Trade Style, including its officers, directors, and employees shall not be held liable for any:

  • Indirect, consequential, or special liability arising out of or in any way related to your use of this Website.
  • Loss of profits, revenue, data, or business opportunities.
  • Trading losses or investment decisions made based on information from the Service.
  • Interruption of service or loss of data due to technical issues, maintenance, or security breaches.
  • Any damages arising from unauthorized access to your account or data.

Maximum Liability

To the maximum extent permitted by applicable law, our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the liability, or $100, whichever is greater.

Indemnification

You hereby indemnify to the fullest extent Trade Style from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney's fees) arising in any way related to:

  • Your breach of any of the provisions of these Terms.
  • Your violation of any law or the rights of a third party.
  • Your use of the Service, including any trading activities or decisions made using the Service.
  • Any content you submit or transmit through the Service.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Effects of Termination

Upon termination:

  • Your right to use the Service will immediately cease.
  • You will no longer have access to your account or any data stored in the Service.
  • We may delete your account and data after a reasonable grace period, subject to our data retention policies and legal obligations.
  • You will not be entitled to any refund of prepaid subscription fees.

Data Export

We recommend regularly exporting your data using the tools provided in the Service. If you wish to export your data before account termination, please do so before your subscription ends or your account is terminated.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall be resolved through the following process:

Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by sending a written notice describing the nature and basis of the claim and the relief sought.

Arbitration (Where Applicable)

If the dispute cannot be resolved informally within 30 days, any remaining dispute may be subject to binding arbitration as required by applicable law in your jurisdiction.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Trade Style operates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

International Users

The Service is controlled and operated from our facilities. We make no representations that the Service is appropriate or available for use in all locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Entire Agreement

These Terms constitute the entire agreement between you and Trade Style regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
